Terms of Service

These Terms of Service ("Terms") govern your access to and use of the websites, training platform, SucceedQuiz, e-commerce store, and related services (collectively, the "Services") operated by ReadWrite Data Solutions Limited ("RWDS", "we", "our", or "us"), a company incorporated under the laws of Nigeria. By accessing or using any of our Services, you agree to be bound by these Terms. If you do not agree, please do not use our Services. These Terms are governed by the laws of the Federal Republic of Nigeria. Any disputes shall be subject to the exclusive jurisdiction of Nigerian courts.

To purchase products or enrol in courses, you must create an account. You agree to: - Provide accurate, current, and complete information during registration. - Maintain the security of your password and notify us immediately of any unauthorised access. - Take responsibility for all activities conducted under your account. RWDS reserves the right to suspend or terminate accounts that violate these Terms or are associated with fraudulent activity.

3.1 **Enrolment.** Upon successful payment, you will receive access to the purchased training course materials. Access is granted for the duration specified on the course detail page. 3.2 **Instructor-led sessions.** Live training sessions are delivered on scheduled dates communicated at the time of purchase. If you miss a scheduled session, we will endeavour to share recordings where technologically feasible; however, make-up sessions are not guaranteed. 3.3 **Corporate training.** Corporate or group training engagements are governed by a separate Statement of Work (SOW) agreed between RWDS and the client organisation. In case of conflict, the SOW takes precedence over these Terms. 3.4 **Certification.** RWDS training prepares you for third-party certification exams. RWDS does not guarantee that you will pass any certification exam. Exam booking, fees, and outcomes are the sole responsibility of the student. 3.5 **Intellectual property.** All course materials, slides, recordings, and content provided by RWDS are the intellectual property of RWDS or its licensors. You may not share, copy, distribute, or reproduce course materials without express written consent.

4.1 **Order acceptance.** Placing an order constitutes an offer to purchase. RWDS reserves the right to refuse or cancel any order at its discretion, including in cases of pricing errors. 4.2 **Pricing.** All prices are quoted in Nigerian Naira (NGN) unless otherwise stated. RWDS reserves the right to modify prices at any time. The price charged will be the price at the time of order placement. 4.3 **Digital products.** Hosting accounts, database access credentials, and software licenses are activated within 1 business day of payment confirmation. These are digital products and subject to the Refund Policy. 4.4 **Physical goods.** Where RWDS ships physical goods, delivery times are estimates and not guaranteed. Risk passes to the buyer upon dispatch.

5.1 **Payment processing.** All payments are processed by Paystack or GlobalPay (Interswitch). RWDS does not store card data. 5.2 **Instalment plans.** Where an instalment plan is offered and agreed, failure to make a scheduled instalment payment within 7 days of the due date may result in suspension of access to services until payment is resumed. 5.3 **Chargebacks.** If you initiate a chargeback without first contacting RWDS to resolve the issue, we reserve the right to suspend your account and refer the matter to a debt recovery process.

You agree not to: - Use our Services for any unlawful purpose or in violation of any Nigerian or international law. - Attempt to gain unauthorised access to any RWDS system or third-party system reachable via our Services. - Transmit viruses, malware, or any harmful code. - Harass, abuse, or harm any other user or RWDS staff member. - Scrape, mine, or systematically extract data from our platform without written consent. - Resell or sublicense access to RWDS training materials or platform features. Violation of this clause may result in immediate account termination without refund.

7.1 All RWDS website content, brand assets, course materials, software, and data remain the exclusive intellectual property of ReadWrite Data Solutions Limited. 7.2 We grant you a limited, non-exclusive, non-transferable licence to access and use our Services for their intended purpose during your subscription or enrolment period. 7.3 SucceedQuiz, the RWDS logo, and all product names are trademarks of ReadWrite Data Solutions Limited. You may not use them without prior written permission.

To the maximum extent permitted by Nigerian law: 8.1 RWDS provides Services on an "as is" and "as available" basis without warranties of any kind, express or implied. 8.2 RWDS shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of, or inability to use, our Services. 8.3 Our total aggregate liability to you for any claim arising under these Terms shall not exceed the total fees paid by you to RWDS in the 12 months preceding the claim.

You may terminate your account at any time by contacting us at info@readwriteds.com. Upon termination, your right to use our Services ceases immediately. RWDS may suspend or terminate your account at any time if you breach these Terms, with or without notice. Clauses regarding intellectual property, limitation of liability, and governing law survive termination.

RWDS may update these Terms from time to time. We will notify registered users of material changes by email. Continued use of our Services after the effective date of changes constitutes acceptance of the updated Terms.
